St Louis Canoe and Kayak Club

ARTICLE I

Name of Organization
The name of the organization shall be The St Louis Canoe and Kayak Club

ARTICLE II

Purpose of the organization
The purpose of the St Lois Canoe & Kayak Club shall be to support Canoe and Kayak related activities, trips and educational programs; the promotion of safe and ethical uses of our waterways and other projects or activities determined appropriate by the Club.

ARTICLE III

Proceeds
All proceeds and profits shall be for the express purpose of providing educational and recreational canoe and kayak programs to members and the general public. No member or officer may benefit directly or indirectly from funds raised or fees collected. Books and records are to be open to inspection and audit.

ARTICLE IV

Offices
The principal office of this organization shall be within the State of Missouri and shall be located within St Louis County. The mailing address of the organization shall be:

ARTICLE V

Membership
General Membership in the St Louis Canoe and Kayak Club shall be open to any person, business and or corporation regardless of race, creed, color, national origin, sex or age (if under 18, a parent or guardian must be a member), interested in canoe and kayak activities.

Members shall pay an annual membership fee. A person, business, or corporation desiring to become a member shall submit an application along with the membership fee. Membership fees are normally paid in the month of January.

Removal of membership shall be possible by request of the member, without refund of all fees paid. Removal of a member for improper conduct, nonpayment of dues or failure to comply with the rules and regulations of the St Louis Canoe and Kayak Club may be accomplished by a majority vote of the officers in the Club.

ARTICLE VI

General Membership Meetings
Meetings will be held on the first Thursday of every month at 7pm.

ARTICLE VII

Governance
The governing body of the St Louis Canoe and Kayak Club shall be the officers of the Cub. The officers shall be nominated from and elected by the general membership. The officers shall notify the general membership of upcoming elections and nominating opportunities to all members. Notifications shall not be less than 30 days in advance of nominations or elections.

Officers are elected for one-year terms. Elections of officers shall be held on the first Thursday of October with those taking office on November 1.

ARTICLE VIII

Voting
Each member in good standing has the opportunity to vote on issues presented at a general meeting. A simple majority is required for passage.

ARTICLE IX

Amendment of By-Laws
Amendment of By-Laws or adoption of additional By-Laws will be voted on by the members of the Club.

ARTICLE X
Dissolution of Organization
In the event of dissolution of the Club, the decision for disposition of the net assets and the procedure to dispose of them will be made at a general meeting of the Club.

 

In addition, the St Louis Canoe and Kayak Club and all members will follow the requirements of the American Canoe Association Paddle 

America Club Agreement:  PADDLE AMERICA CLUB AGREEMENT (americancanoe.org).

Education

The St Louis Canoe and Kayak Club conducts a Skills Clinic following the guidelines of the American Canoe Association in the summer of every year unless prevented by weather or other conditions.   Participants must be members of the Club.

A Moving Water Clinic may also be conducted.

Educational opportunities conducted by other clubs will also be publicized.
